These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Freaquer Corporation Private Limited (CIN: U72300TG2012PTC083627), having its registered office at Tower-B, The I-THUM, Unit No. 1204 & 1205, 12th Floor, Plot No. A-40, Sector-62, Noida, Gautam Buddha Nagar, Uttar Pradesh - 201301 ("Company", "we", "us", or "our"), governing your access to and use of the sttiz platform, websites (sttiz.com and all subdomains), mobile applications, and all related services (collectively, the "Platform").
1. Acceptance of Terms
By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree with any part of these Terms, you must immediately stop using the Platform.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Platform Description
sttiz is a multi-vertical SaaS (Software as a Service) and ERP (Enterprise Resource Planning) platform that provides:
- Marketplace: An online marketplace connecting buyers and sellers across multiple product categories.
- Retail & Grocery: Point-of-sale (POS), inventory management, and e-commerce solutions for retail and grocery businesses.
- Restaurant Management: POS, kitchen display, table management, and online ordering systems for food service businesses.
- Hotel & BnB Management: Reception, housekeeping, room service, and booking management for hospitality businesses.
- Healthcare: Clinic management, appointment scheduling, pharmacy, and patient record systems.
- Salon & Spa: Appointment booking, service management, and POS for beauty and wellness businesses.
- Delivery & Logistics: Last-mile delivery, courier services, freight management, and fleet tracking.
- B2B Commerce: Wholesale ordering, purchase order management, and supplier portals.
- Workforce Management: Gig economy worker management, task assignment, and workforce analytics.
- Investment Portal: Crowdfunding and investment opportunities in businesses on the Platform.
- Social Commerce: Social feed, live shopping, pitch reels, and community features.
- White-Label Storefronts: Custom-branded online stores with subdomain hosting on sttiz.com.
3. User Accounts
3.1 Registration
To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Types
The Platform supports multiple user roles:
- Customer: End users who browse, purchase products, book services, and place orders.
- Seller/Merchant: Businesses that list products or services, manage orders, and receive payments.
- Staff: Employees of sellers/merchants with designated operational access.
- Delivery Partner: Individuals or entities providing delivery and logistics services.
- Worker: Gig economy workers providing services through the workforce module.
- Investor: Users participating in investment and crowdfunding opportunities.
- B2B Users: Wholesale buyers and business-to-business clients.
3.3 Account Responsibilities
- You must provide truthful, accurate, and complete information during registration and keep it updated.
- You are solely responsible for all activity under your account.
- You must immediately notify us of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
- You may not create multiple accounts for fraudulent or abusive purposes.
4. Seller and Merchant Terms
4.1 Seller Registration
Sellers and merchants must complete the onboarding process, provide valid business documentation (GSTIN, PAN, bank account details, FSSAI licence where applicable), and agree to the seller-specific terms.
4.2 Seller Obligations
- Maintain accurate product listings, pricing, and inventory information.
- Comply with all applicable laws including Consumer Protection Act, 2019, Legal Metrology Act, Food Safety and Standards Act, and e-commerce rules.
- Fulfil orders within the committed timelines and maintain product quality.
- Respond to customer queries, complaints, and return/refund requests promptly.
- Provide accurate GST invoices and comply with tax obligations.
- Not list prohibited, counterfeit, illegal, or restricted items.
4.3 Commission and Fees
The Platform may charge sellers commissions, subscription fees, listing fees, or transaction fees as communicated during onboarding or as updated from time to time. Fee structures vary by business category and subscription plan. All fees are exclusive of applicable GST unless otherwise stated.
5. Payment Terms
5.1 Payment Processing
All payments on the Platform are processed through secure, PCI-DSS compliant third-party payment gateways. We currently support the following payment processors:
- Razorpay (Razorpay Software Private Limited) — Credit/debit cards, UPI, net banking, wallets, EMI, and international cards.
- Paytm (One97 Communications Limited) — Paytm wallet, UPI, credit/debit cards, net banking, and Paytm Postpaid.
- Stripe (Stripe, Inc.) — International credit/debit cards, recurring subscriptions, and multi-currency payments.
5.2 Payment Methods
The Platform supports the following payment methods:
- Credit and debit cards (Visa, Mastercard, RuPay, American Express, Diners Club)
- UPI (Google Pay, PhonePe, Paytm, BHIM, and other UPI apps)
- Net banking (all major Indian banks)
- Mobile wallets (Paytm, Amazon Pay, and others)
- EMI (credit card EMI and debit card EMI where available)
- Cash on Delivery (COD) — where available and at the discretion of the seller
- Buy Now, Pay Later (BNPL) — through supported partners
- International cards and multi-currency payments via Stripe
5.3 Pricing and Taxes
- All prices on the Platform are listed in Indian Rupees (INR) unless otherwise specified.
- Prices are inclusive or exclusive of taxes as indicated on the product/service listing page.
- Applicable GST, service tax, and other government levies will be charged as per prevailing rates.
- The Company reserves the right to revise pricing for SaaS subscriptions with 30 days prior notice.
5.4 Seller Settlements
Payments to sellers are settled as per the settlement cycle agreed during onboarding (typically T+1 to T+7 business days). Settlements are made to the bank account registered by the seller on the Platform. The Company may withhold settlements in cases of suspected fraud, chargebacks, or policy violations.
6. Orders, Delivery, and Fulfilment
6.1 Order Placement
Placing an order constitutes an offer to purchase the product/service at the listed price. Order confirmation is subject to product availability, price accuracy, and successful payment processing. We reserve the right to cancel or refuse any order for legitimate reasons.
6.2 Delivery
- Delivery timelines are estimates and may vary based on location, product availability, and other factors.
- Delivery charges, if applicable, are displayed at checkout before payment.
- Risk of loss and damage passes to the customer upon delivery.
- The Platform may use its own delivery fleet, third-party logistics partners, or seller-managed delivery.
6.3 Service Bookings
For service-based verticals (salons, healthcare, hotel bookings, etc.), bookings are confirmed subject to availability. Cancellation terms specific to each service type apply as described in ourRefund & Cancellation Policy.
7. Intellectual Property
7.1 Platform IP
All content, features, functionality, designs, trademarks, logos, and technology of the Platform are owned by or licenced to Freaquer Corporation Private Limited and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Platform without express written permission.
7.2 User Content
By posting content on the Platform (reviews, images, videos, pitch reels, social posts), you grant us a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute such content for Platform operations and marketing purposes. You retain ownership of your content and are responsible for ensuring it does not infringe any third-party rights.
8. Prohibited Activities
You agree not to:
- Use the Platform for any unlawful, fraudulent, or malicious purpose.
- Post false, misleading, or defamatory content.
- Infringe on the intellectual property rights of others.
- Attempt to gain unauthorized access to Platform systems or other user accounts.
- Use automated tools, bots, or scrapers to access or collect data from the Platform.
- Manipulate reviews, ratings, or search rankings.
- Engage in price manipulation, fake orders, or collusive practices.
- List or sell prohibited, illegal, counterfeit, or restricted products or services.
- Circumvent payment processes or use the Platform to launder money.
- Harass, threaten, or abuse other users, staff, or delivery partners.
- Transmit viruses, malware, or any code of a destructive nature.
- Violate any applicable local, state, national, or international law.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied.
- We do not guarantee uninterrupted, timely, secure, or error-free operation of the Platform.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Our total aggregate liability shall not exceed the amount paid by you to us in the 12 months preceding the claim.
- We are not liable for the quality, safety, legality, or any other aspect of products or services offered by third-party sellers on the Platform.
- We are not responsible for delays or failures due to factors beyond our reasonable control, including internet connectivity issues, payment gateway downtimes, or third-party service disruptions.
10. Indemnification
You agree to indemnify, defend, and hold harmless Freaquer Corporation Private Limited, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:
- Your violation of these Terms or any applicable law.
- Your use or misuse of the Platform.
- Content you post or transmit through the Platform.
- Your infringement of any third-party rights.
- Any transaction or dispute between you and another user of the Platform.
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
11.2 Jurisdiction
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gautam Buddha Nagar (Noida), Uttar Pradesh, India.
11.3 Arbitration
In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good faith negotiation. If the dispute is not resolved within 30 days, either party may refer the matter to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be Noida, Uttar Pradesh. The language of arbitration shall be English.
12. Termination
- You may terminate your account at any time by contacting us or using account deletion features in the Platform.
- We may suspend or terminate your access to the Platform at any time, with or without notice, for violations of these Terms, suspected fraud, or other legitimate reasons.
- Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including payment obligations, intellectual property rights, indemnification, limitation of liability, and dispute resolution) shall survive.
- For SaaS subscriptions, termination during an active subscription period is subject to the refund terms in our Refund & Cancellation Policy.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified through email, in-app notifications, or by posting a prominent notice on the Platform at least 15 days before the changes take effect. Your continued use of the Platform after the effective date of changes constitutes your acceptance of the modified Terms. If you disagree with the modified Terms, you must stop using the Platform.
14. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, epidemics, pandemics, war, terrorism, riots, government actions, internet or telecommunications failures, power outages, or any other force majeure event.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and the Company regarding the use of the Platform, superseding any prior agreements or communications.
